Description

As a Corporate Attorney for SPS Commerce, you would be responsible for owning the preparation, review, and negotiation of customer/sales contracts with our sales department, vendor contracts, and other company agreements, and will drive process improvement to achieve greater efficiencies in contract management. You would also be responsible for the Company’s privacy compliance program and will partner with the technology and security teams to support the Company’s cybersecurity program and related technology initiatives. In addition, you would partner with the General Counsel and other leadership to oversee risk management and integrate risk management into the business.  

 

In this role you would frequently interact with customers, vendors, and all internal departments, and will provide legal guidance within the organization on a variety of legal, risk and compliance-related topics. The ideal candidate will have the ability and desire to work directly with customers and internal team members in a busy, fast-paced environment and handle a high level of responsibility in closely collaborative relationships.

Day to Day

  • Partner with the sales department to on customer contract review and negotiation, working proactively to drive resolution of customer contracts in a timely and professional manner. Engage in negotiations with customers on contract terms and conditions.
  • Review vendor contracts and partner with the Corporate Paralegal to enhance the vendor contract management process.
  • Update, as necessary, all standard contracts and forms (e.g. customer contract templates and forms; vendor contract templates and forms), ensuring proper version control and distribution to the teams as appropriate, including rollout and training on updated forms and templates.
  • Advise on domestic and international privacy laws and regulations, including state specific privacy regulations, GDPR and other international privacy laws.
  • Manage the SPS privacy compliance program, including education and training on compliance with the Company’s privacy program.
  • Act as lead attorney supporting the technology and security teams on the Company’s cybersecurity program and other technology initiatives, including those relating to the Company’s management and use of data.
  • Support the General Counsel and other senior leadership on the Company’s risk management processes and policies and the integration of such processes and policies throughout the business.
  • Proactively partner with a wide variety of business leaders to drive company projects and initiatives.

 

Minimum Requirements

  • J.D. and active Minnesota license to practice law required, with 5+ years of in-house and/or law firm experience, with at least 2+ years of in-house experience.
  • Strong knowledge of contract law and privacy laws across multiple jurisdictions.
  • Excellent organizational skills and attention to detail with ability to manage competing priorities and demands with minimal supervision.
  • Ability to communicate and negotiate effectively verbally and in writing
  • Prior customer service and/or project management experience
  • Demonstrated knowledge of Microsoft Office (Word, Excel, PowerPoint, and Outlook)
